AMD to Buy World Labs for $8.2 Billion in All-Stock AI Deal

AMD has agreed to acquire World Labs, the spatial-intelligence company led by AI researcher Fei-Fei Li, in an all-stock transaction valued at approximately $8.2 billion.
The deal moves AMD beyond supplying compute components and further into the research that determines how future AI workloads use those components. It also asks AMD shareholders to evaluate a sizable acquisition before the target's financial contribution has been disclosed.
What AMD is buying
World Labs develops models that generate, reconstruct and simulate interactive 3D environments from text, images and video. Its research also covers robotic learning and simulation.
AMD says that understanding emerging models more deeply can inform its hardware, software and systems roadmaps. After closing, Li is expected to join AMD as executive vice president and chief scientist, reporting to CEO Lisa Su. The World Labs research team is expected to continue its model work.
How the $8.2 billion price will be paid
AMD's Form 8-K says the purchase price will be paid in AMD common stock. The final number of shares will be calculated using a ten-trading-day volume-weighted average price shortly before closing.
That structure avoids an $8.2 billion cash outflow, but it transfers part of the combined company to World Labs shareholders. Existing investors should watch the final share issuance and resulting dilution rather than treating an all-stock purchase as cost-free.
The deal is not complete yet
AMD's announcement says the transaction is expected to close by the end of 2026. Regulatory approvals and customary closing conditions remain, so World Labs should not yet be described as an AMD subsidiary.
The strategic case is that closer contact with frontier model research can help AMD build more relevant AI infrastructure and compete across a broader technology stack. The unanswered questions are revenue, operating expense, retention of key researchers and the time required to turn research insights into products.
The acquisition is a bold investment in physical and spatial AI. Its ultimate value will depend on integration and per-share returns, not the deal's size alone.
