A McDonald’s customer filed a proposed nationwide class action on October 2, 2026 alleging the company turned its menu-pricing software into a tool for fixing prices, and a second customer filed a related case on October 15, according to OpenClassActions. The cases are Thomas v. McDonald’s USA (No. 1:26-cv-12149) and Rossi v. McDonald’s Corporation (No. 1:26-cv-12651), both in the Northern District of Illinois.

What the complaints allege

About 95% of the roughly 14,000 U.S. McDonald’s restaurants are owned by independent franchisees, and McDonald’s has said they set their own prices. The Thomas complaint alleges the company pooled confidential sales data from restaurants that are supposed to compete, ran it through a machine-learning pricing engine, and pushed franchisees to follow its recommended prices. The Rossi complaint makes similar claims, covers purchases since January 1, 2019, and adds Deloitte Consulting as a defendant, alleging it ran the franchisee-facing side of the system.

Where it stands

No defendant has responded in court. McDonald’s denies the allegations. No class is certified, there is no settlement, and nothing is proven.

Why it matters for the stock

For readers following MCD, the suits follow the pattern of algorithmic-pricing antitrust cases brought against landlords and hotel operators, where courts have been divided on whether shared software amounts to an agreement. The motion-to-dismiss ruling will be the first indication of whether this theory applies to a franchise system.
